Membership Terms and Conditions

These terms and conditions are the contract between you and SISTERS HEALING SPACE PTY LTD  (“us”, “we”, etc). By visiting or using Our Website and Directory or Therapist Directory, you agree to be bound by them.

SISTERS HEALING SPACE PTY LTD is a registered Company in AUSTRALIA, ACN number 645124367. Our address is PO Box 858 Tennant Creek Northern Territory 0860.

You are: Your, you , Practitioners, Mental Health Practitioners, Therapists, Life Coach or Healers  .

Please read this agreement carefully and save it. If you do not agree with it, you should leave Our Website and Directory immediately.

These are the agreed terms

1. Definitions

In this agreement, the following words shall have the following meanings, unless the context requires otherwise:

“Content”

means the textual, visual or aural content that is encountered as part of your experience on Our Website and Directory. It may include, among other things: text, images, sounds, videos and animations. It includes content Posted by you.

“Directory”

means the Website Therapist directory of SISTERS HEALING SPACE PTY LTD, the purpose of Our Website and Directory.

“Post”

means display, exhibit, publish, distribute, transmit and/or disclose information, Content and/or other material on Our Website and Directory, and the phrases “Posted” and “Posting” shall be interpreted accordingly.

“Profile”

Means your approved membership SISTERS HEALING SPACE PTY LTD account for Practitioners.

“Listing”

Means SISTERS HEALING SPACE PTY LTD approved membership profile business or organisation displayed on therapist directory.

“Practitioners”

Means a qualified Mental Health Practitioners, Therapists , Spiritual and traditional Healers, Life Coaches in Australia practicing and registered with a professional board or association relevant to their qualifications outlined on our Website and Directory join us tab and SISTERS HEALING SPACE PTY LTD Listing Guide.

“User/users”

Means anyone access/enquires about your service listed on SISTERS HEALING SPACE PTY LTD who does not have a paid membership subscription.

“Minority/Marginalised group(s)”

Means Indigenous and Black/African Women/Woman, and Women/Woman of Colour in Australia.

“Services”

means all of the services available from Our Website and Directory, whether free or charged.

“Our Website and Directory”

means any website or service designed for electronic access by mobile or fixed devices which is owned or operated by us. It includes all web pages controlled by us including our community platform application.

“Membership”

Means four reoccurring standard and premium subscriptions for SISTERS HEALING SPACE PTY LTD; Standard, Standard Online, Premium and Premium online.

1. 1Our contract

1.2 These terms and conditions regulate the business relationship between you and us. You accept these terms and conditions by registering for creating and a SISTERS HEALING SPACE PTY LTD profile. Free trial, free subscriptions and reoccurring monthly paid memberships are bound by the Terms and Conditions. 

1.3 By registering for SISTERS HEALING SPACE PTY LTD profile and subscribing to our reoccurring premium or standard subscriptions on our Website and Directory, you agree to be bound by them.

1.4 We do not offer the Services in all countries. We may refuse to provide the Services if you live in a country we do not serve.

1.5 In entering into this contract, you have not relied on any representation or information from any source except the definition and explanation of the Services given on Our Website and Directory.

1.6 Subject to these terms and conditions, we agree to provide to you some or all of the Services described on Our Website and Directory at the prices we charge from time to time.

1.7 Our contract with you is valid in accordance with your unlimited free membership/subscription or reoccurring monthly membership/subscription with SISTERS HEALING SPACE PTY LTD. Any continuation by us or by you after the expiry of one year is a new contract under the terms then posted on Our Website and Directory. Your continued use of our Services after that shall be deemed acceptance by you of the changed Service, system and/or terms.

1.8 Standard subscription is unlimited and Premium membership is reoccurring monthly and will automatically renew every 28 days from the date your profile listing was approved. You will receive monthly invoices to your email, and also accessible on SISTERS HEALING SPACE PTY LTD profile under “subscriptions”.

1.9 The contract between us comes into existence only when we write to you to confirm that we agree to provide to you the Service you want. You will receive an email copy of our Terms and Conditions.

1.10 Your payment does not create a contract. If we decline to provide a Service, we shall immediately return your money to your credit card/PayPal.

1.11 If we give you free access to a Service, feature or subscription on Our Website and Directory, and that Service or feature is usually subject to our contractual terms, you now agree that you are bound by these terms and conditions.

1.12 We may change this agreement in any way at any time. The version applicable to your contract is the version which was posted on Our Website and Directory at the time that the contract was made.

2.2 Your account and personal information

2.1 When you visit Our Website and Directory, you accept responsibility for any action done by any person in your name or under your account or password. You should take all necessary steps to ensure that the password is kept confidential and secure and should inform us immediately if you have any reason to believe that your password has become known to anyone else, or if the password is being, or is likely to be, used in an unauthorised manner.

2.2 To use our service, you will need to create an account on our Website by clicking “Join US or Claim Listing” link/tab. When creating your account, you will be prompted to fill in your name, address, contact email and password. After creating your profile, you will be promoted to select a subscription and create a or claim directory listing. You accept that you agree to the terms and conditions by registering for a profile  for SISTERS HEALING SPACE PTY LTD.

2.3 You agree that you have provided accurate, up to date, and complete information about yourself. We are not responsible for any error made as a result of such information being inaccurate.

2.4 You agree to notify us of any changes in your information immediately if it occurs. If you do not do so, we may terminate your account.

3. Therapist Directory registration

3.1 Practitioners must have an ACN/ABN and be operating as a private practice/organisation/not-for-profit/ non-government and must have professional indemnity Insurance.

3.2 Practitioners must comply with your professional board/association rules, regulations, practice standers etc. SISTER HEALING SPACE is not responsible to monitor your compliance with your professional board/association. 

3.3 Practitioners must register and create an account to create a  listing on SISTERS HEALING SPACE PTY LTD directory. To register visit “join our directory/claim your listing” on Our Website and Directory.

3.4 After you have registered your interest you will receive an information pack regarding our directory. We will review your application within seven working days.

3.5 We may require you to provide evidence verifying your identity, your qualifications, professional board/association registration and/or that you are approved to act on behalf of the business that you are advertising on SISTERS HEALING SPACE PTY LTD Website. If you do not provide such evidence to our satisfaction, your service account registration may be declined, suspended or terminated.

3.6 Practitioners must notify us within 48 hours any changes or cancelation to their professional registration. Failure to do so will result in account termination.

3.7 In respect of any complaint made by you or any person on your behalf, whether using our form of complaint or not, you now irrevocably grant to us a licence to publish the complaint and all ensuing correspondence and communication, without limit.

3.8 SISTERS HEALING SPACE PTY LTD is an introductory Directory, we do not take responsibility for the quality of users who have accessed your service through our Website and Directory. We will not be involved or facilitate in any interaction or further engagement with users in regards to your service, if they choose to access your service. We will not be liable or involved in any conflict resolution between a user and Practitioners.

4. SISTERS HEALING SPACE PTY LTD Membership

4.1 SISTERS HEALING SPACE PTY LTD has four tiers of ongoing monthly subscription/membership:

    Standard Face to Face (free)

Standard online (free)

Premium Face to Face (paid)

Premium online (paid)

4.2 Our reoccurring Standard and Standard online membership is free of charge. You may use it subject to your compliance with the terms of this agreement.

4.3 Our reoccurring monthly Premium membership is $11 AUD (including GST) paid monthly membership.

4.4 Details of the cost and benefits of SISTERS HEALING SPACE PTY LTD Membership are as set out on Our Website and Directory and ‘about us’ document emailed to you. You may subscribe to SISTERS HEALING SPACE PTY LTD Membership Services at any time.

4.5 By accepting these terms and conditions when creating your profile, you do instruct us to provide the SISTERS HEALING SPACE PTY LTD on going monthly Membership Services. 

4.6 Termination of SISTERS HEALING SPACE PTY LTD Membership will be regulated by this contract set out in paragraph 14 below.

4.7 You may not transfer your SISTERS HEALING SPACE PTY LTD Membership to any other person.

4.8 We reserve the right to modify the SISTERS HEALING SPACE PTY LTD Membership rules or system and to change the terms and conditions of this agreement at any time, without notice. Your continued use of the SISTERS HEALING SPACE PTY LTD Membership after such modifications shall be deemed an acceptance by you to be bound by the terms of the modified agreement.

4.9 The terms that apply to you are those posted on our Website and Directory and this document.

5. Prices

5.1 The price payable for Services that you order is clearly set out on Our Website and Directory and ‘About Us’ document.

5.2 The price charged for any Service may differ from one country to another. You may not be entitled to the lowest price unless you reside in the qualifying country.

5.3 Prices are inclusive of any applicable goods and services tax or other sales tax.

5.4 Prices are in Australian Dollar currency. We do not accept unconverted foreign currency.

5.5 Any details given by us in relation to exchange rates are approximate only and may vary from time to time.

5.6 You will pay all sums due to us under this agreement by the means specified without any set-off, deduction or counterclaim.

5.7 If, by mistake, we have under-priced an item, we will not be liable to supply that item to you at the stated price, provided that we notify you before we dispatch it to you.

6. Renewal payments

6.1 They are four SISTERS HEALING SPACE PTY LTD membership/subscription options:

Standard Face to Face 

Standard Online

Premium Face to Face

Premium Online

6.2 Premium Memberships/subscriptions will renew each month reoccurring. If you, downgrade or cancel or we will require At least 2 weeks’ notice before expiry of the period, for which you have paid.

6.3 Standard memberships are unlimited unless you send an email request to SISTERS HEALING SPACE PTY LTD, to cancel or permanently delete your profile and listing.

6.4 If you choose to upgrade, please complete subscription and enter payment details. We will review your profile and send an invoice if your subscription is accepted.

6.5 If you accept a free premium trial period , two weeks before expiry date we shall send you a message to your last known email address to tell you that your SISTERS HEALING SPACE PTY LTD Membership and licence to use the Services is shortly to expire and to invite you to renew. An invoice for the new period will be included.

6.6 At any time before expiry of your SISTERS HEALING SPACE PTY LTD Membership, you may use the “My Account” tab on Our Website and Directory to access your personal information and change your requirements for Services or cancel renewal.

6.7 At expiry of your SISTERS HEALING SPACE PTY LTD trial Membership we shall automatically take payment from your credit card of the sum specified on the invoice sent earlier and shall confirm the renewal of your SISTERS HEALING SPACE PTY LTD Membership for a further period by sending you an email message.

6.8 Practitioners may cancel SISTERS HEALING SPACE PTY LTD Membership within 14 days after the day we confirm the renewal of your SISTERS HEALING SPACE PTY LTD Membership. If you do so we will refund your Membership cost within 14 days of receipt of this request, in accordance with the Australian Consumer Law.

6.9 Other than the limitation set out above SISTERS HEALING SPACE PTY LTD Membership is non-refundable and non-transferable.

7. Security of your credit card

We take care to make Our Website and Directory safe for you to use.

7.1 Card payments are not processed on a page controlled by us. We use one or more online payment service providers who will encrypt your card or bank account details in a secure environment.

7.2 If you have asked us to remember your credit card details for your next purchase or subscription, we will securely store your payment details on our systems. These details will be fully encrypted and only used to process your automatic monthly payments or other transactions which you have initiated.

7.3 Payment for premium membership will be deducted monthly and processed using PayPal, by subscribing to our reoccurring monthly membership and agreeing to our terms and conditions, you are also agreeing to PayPal terms and conditions.

8. Restrictions on what you may Post to Our Website and Directory

8.1 We may, at our discretion, read, assess, review or moderate any Content Posted on Our Website and Directory. If we do, we need not to notify you or give you a reason.

8.2 You agree that you will not use or allow anyone else to use Our Website and Directory to Post a Content which is or may:

8.2.1 be malicious or defamatory;

8.2.2 consist in commercial audio, video or music files;

8.2.3 be obscene, offensive, threatening or violent;

8.2.4 be sexually explicit or pornographic;

8.2.5 be likely to deceive any person or be used to impersonate any person, or to misrepresent your identity, age or affiliation with any person;

8.2.6 give the impression that it emanates from us or that you are connected with us or that we have endorsed you or your business;

8.2.7 solicit passwords or personal information from anyone;

8.2.8 be used to sell any goods or services or for any other commercial use;

8.2.9 include anything other than words (i.e. you will not include any symbols or photographs) except for a photograph of yourself in your profile in such place as we designate;

8.2.10 link to any of the material specified above, in this paragraph.

8.2.11 Post excessive or repeated off-topic messages to any forum or group;

8.2.12 sending age-inappropriate communications or Content to anyone under the age of 18.

9. Your Posting: restricted content

In connection with the restrictions set out below, we may refuse or edit or remove a Posting which does not comply with these terms.

In addition to the restrictions set out above, a Posting must not contain:

9.1 hyperlinks, other than those specifically authorized by us;

9.2 keywords or words repeated, which are irrelevant to the Content Posted.

9.3 the name, logo or trademark of any organisation other than that of you or your client.

9.4 inaccurate, false, or misleading information.

9.5

10.     Profile Listing Promotions

10.1 SISTERS HEALING SPACE PTY LTD are not professional or accredited social media advertising or marketing experts. SISTERS HEALING SPACE PTY LTD contract external social media marketing and advertising specialists to create content for SISTERS HEALING SPACE PTY LTD and practitioner listing promotions.

10.2 Premium members have the opportunity for their profile listing to be   featured on our Website and Directory and social media platforms:

Facebook (Facebook Ads, story and feed)

Twitter

Instagram (Instagram story, feed and Instagram AD)

SISTERS HEALING SPACE PTY LTD YouTube

10.3   Premium members profile listing promotion renews in accordance to their monthly subscription payment renewal. Practitioners can not transfer unused promotion features.

10.4 You have the responsibility to provide SISTERS HEALING SPACE PTY LTD the content for your profile listing promotion and feature. This must be provided to SISTERS HEALING SPACE PTY LTD no later than one week before scheduled date.

10.5   SISTERS HEALING SPACE PTY LTD will send you drafts prior to publishing your content for your approval. SISTERS HEALING SPACE PTY LTD will not post profile listing promotion or features without your approval.

10.6   You have the responsibility to ensure content and pictures provided to SISTERS HEALING SPACE PTY LTD for promotion, advertising or marketing are in accordance with Australian copywrite laws and Copyright Act 1968. SISTERS HEALING SPACE PTY LTD takes not responsibility for any copywrite content you have submitted to us.

10.7   Premium Profile listing promotion features will include:

One-week website homepage and blog feature (per month)

Four Instagram and fakebook feed (per month)

Four days paid Instagram and Facebook advertising (per month)

10.7    SISTERS HEALING SPACE PTY LTD has the right to increase or reduce profile listing and promotion features without any notice.

10.8     By agreeing to these terms and conditions you authorise SISTERS HEALING SPACE PTY LTD to share your content with SISTERS HEALING SPACE PTY LTD external contracted social media and marketing experts to design post for content you have provided.

10.9    SISTERS HEALING SPACE PTY LTD is not responsible or liable for public users comments, likes, reactions or shares for your profile listing promotion that maybe defamatory, derogatory or slanderous. 

      11.     Privacy Policy

11.1   Our privacy policy is strong and precise. It complies fully with current privacy law which is at the “privacy policy” page on the bottom of www.sistershealingspace.com.au .

11.2 If you Post Content to any public area of Our Website and Directory, it becomes available in the public domains. We have no control over who sees it or what anyone does with it

11.3 Even if access to your text is behind a user registration it remains effectively in the public domain because someone has only to register and log in, to access it. You should therefore avoid Posting unnecessary confidential information.

11.4 We need the freedom to be able to publicise our Services and your own use of them. You therefore now irrevocably grant us the right and licence to edit, copy, publish, distribute, translate and otherwise use any Content that you place on Our Website and Directory, in public domains and in any medium. You represent and warrant that you are authorised to grant all such rights.

11.5 We will use that licence only for commercial purposes of the business of Our Website and Directory and will stop using it after a commercially reasonable period of time.

11.6 You agree to any act or omission which may otherwise infringe your right to be identified as the author and your right to object to derogatory treatment of your work as provided in the Copyright Act 1968.

11.7 You now irrevocably authorise us to publish feedback, comments and ratings about your activity through Our Website and Directory. We will be reviewing and approving comments any negative feedback or comments will be discussed with you and it is at our discretion to publish, decline or remove, feedbacks, comments and ratings.

11.8 Posting content of any sort does not change your ownership of the copyright in it. We have no claim over it and we will not protect your rights for you.

11.9 You understand that you are personally responsible for your breach of someone else’s intellectual property rights, defamation, or any law, which may occur as a result of any Content having been Posted by you.

11.10 You accept all risk and responsibility for determining whether any Content is in the public domain and not confidential.

11.11 Please notify us of any security breach or unauthorised use of your account.

11.12 We do not solicit ideas or text for improvement of our Service, but if you do send to us material of any sort, you are deemed to have granted to us a licence to use it in the terms set out at sub paragraph five above.

12 Removal of offensive Content

12.1 For the avoidance of doubt, this paragraph is addressed to any person who comes on Our Website and Directory for any purpose.

12.2 We will be monitoring user comments and reviews. Any negative comments or review will be discussed with you prior to publishing. It is within our discretion to approve, decline or remove any user comments.

12.3 If you are offended by any Content, the following procedure applies:

12.3.1 your claim or complaint must be submitted to us in the form available on Our Website and Directory or contain the same information as that requested in our form. It must be sent to us by post or email;

12.3.2 we shall remove the offending Content as soon as we are reasonably able;

12.3.3 after we receive notice of a claim or complaint, we shall investigate so far as we alone decide;

12.3.4 we may re-instate the Content about which you have complained or not.

12.4 In respect of any complaint made by you or any person on your behalf, whether using our form of complaint or not, you now irrevocably grant to us a licence to publish the complaint and all ensuing correspondence and communication, without limit.

12.5 You now agree that if any complaint is made by you frivolously or vexatiously you will repay us the cost of our investigation including legal fees, if any.

13 Security of Our Website and Directory

If you violate Our Website and Directory, we shall take legal action against you.

You now agree that you will not, and will not allow any other person to:

13.1 modify, copy, or cause damage or unintended effect to any portion of Our Website and Directory, or any software used within it.

13.2 link to Our Website and Directory in any way that would cause the appearance or presentation of Our Website and Directory to be different from what would be seen by a user who accessed Our Website and Directory by typing the URL into a standard browser;

13.3 download any part of Our Website and Directory, without our express written consent;

13.4 collect or use any product listings, descriptions, or prices;

13.5 collect or use any information obtained from or about Our Website and Directory or the Content except as intended by this agreement;

13.6 aggregate, copy or duplicate in any manner any of the Content or information available from Our Website and Directory, other than as permitted by this agreement or as is reasonably necessary for your use of the Services;

13.7 share with a third party any login credentials to Our Website and Directory.

13.8 Despite the above terms, we now grant a licence to you to:

13.8.1 create a hyperlink to Our Website and Directory for the purpose of promoting an interest common to both of us. You can do this without specific permission. This licence is conditional upon your not portraying us or any product or service in a false, misleading, derogatory, or otherwise offensive manner. You may not use any logo or other proprietary graphic or trademark of ours as part of the link without our express written consent.

13.8.2 you may copy the text of any page for your personal use in connection with the purpose of Our Website and Directory or a Service we provide.

14 Disclaimers

14.1 The law differs from one country to another. This paragraph applies so far as the applicable law allows.

14.2 All implied conditions, warranties and terms are excluded from this agreement. If in any jurisdiction an implied condition, warrant or term cannot be excluded, then this sub paragraph shall be deemed to be reduced in effect, only to the extent necessary to release that specific condition, warranty or term.

14.3 The SISTERS HEALING SPACE PTY LTD Website and SISTERS HEALING SPACE PTY LTD Services are provided “as is”. We make no representation or warranty that the Services will be:

14.3.1 useful to you;

14.3.2 of satisfactory quality;

14.3.3 fit for a particular purpose;

14.3.4 available or accessible, without interruption, or without error;

14.4 Neither use of the Services nor the exercise of any right granted under this agreement will infringe any other intellectual property or other rights of any other person.

14.5 Our Website and Directory contains links to other Internet websites. We have neither power nor control over any such website. You acknowledge and agree that we shall not be liable in any way for the Content of any such linked website, nor for any loss or damage arising from your use of any such website.

14.6 We are not liable in any circumstances for special, indirect or consequential damages or any damages whatsoever resulting from loss of use, loss of data or loss of revenues or profits, whether in an action of contract, negligence or otherwise, arising out of or in connection with your use of Our Website and Directory.

14.7 We claim no expert knowledge in any subject. We disclaim any obligation or liability to you arising directly or indirectly from information you take from Our Website and Directory or receive directly from a third party as a result of an introduction via Our Website and Directory.

15 Duration and termination

15.1 This agreement shall operate for the period for which you have subscribed to SISTERS HEALING SPACE PTY LTD Membership Service.

15.2 You may terminate this agreement at any time, for any reason, with immediate effect. You may terminate the agreement either by sending notice to us by post or email, or by completing the form on Our Website and Directory and submitting it. We reserve the right to check the validity of any request to terminate membership.

15.3 Termination by either party shall have the following effects:

15.3.1 your right to use the Services immediately ceases;

15.3.2 we are under no obligation to forward any unread or unsent messages to you or any third party.

15.4 In the event of such termination by us, we will within seven days refund to you the balance of your subscription outstanding for any Service, pro rata with time not elapsed in accordance with the Australian Consumer Law.

15.5 There shall be no re-imbursement or credit if the Service is terminated due to your breach of the terms of this agreement.

15.6 We retain the right, at our sole discretion, to terminate any and all parts of the Services provided to you, without refunding to you any fees paid if we decide in our absolute discretion that you have failed to comply with any of the terms of this agreement.

16 Storage of data

16.1 We assume no responsibility for the deletion or failure to store or deliver email or other messages.

16.2 We may, from time to time, set a limit on the number of messages you may send, store, or receive through the Service. We may delete messages in excess of that limit. We shall give you notice of any change to your limit, except in an emergency.

16.3 You accept that we cannot be liable to you for any such deletion or failure to deliver to you.

17 Interruption to Services

17.1 If it is necessary for us to interrupt the Services, we will give you reasonable notice where this is possible and when we think the down time is such as to justify telling you.

17.2 You acknowledge that the Services may also be interrupted for many reasons beyond our control.

17.3 You agree that we are not liable to you for any loss, foreseeable or not, arising from any interruption to the Services.

18 Limitation of liability

18.1 Our total liability to you, for any one event or series of related events, and whether in contract, tort, negligence, breach of statutory duty or otherwise, shall be two times the total fees payable by you in the 12 months before the event(s) complained of or the sum of $1,000 AUD.  whichever is higher.

18.2 Neither party shall be liable to the other in any possible way, for any loss or expense which is:

18.2.1 indirect or consequential loss; or

18.2.2 economic loss or other loss of turnover, profits, business or goodwill.

18.3 This paragraph (and any other paragraph which excludes or restricts our liability) applies to our directors, officers, employees, subcontractors, agents and affiliated companies as well as to us.

19 Indemnity

You agree to indemnify us against any loss, damage or liability, suffered by us at any time and arising out of:

19.1 any act, neglect or default of yours in connection with this agreement or your use of the Services;

19.2 your breach of this agreement;

19.3 your failure to comply with any law;

19.4 a contractual claim arising from your use of the Services.

20 Miscellaneous matters

20.1 If any term or provision of this agreement is at any time held by any jurisdiction to be void, invalid or unenforceable, then it shall be treated as changed or reduced, only to the extent minimally necessary to bring it within the laws of that jurisdiction and to prevent it from being void and it shall be binding in that changed or reduced form. Subject to that, each provision shall be interpreted as severable and shall not in any way affect any other of these terms.

20.2 The rights and obligations of the parties set out in this agreement shall pass to any permitted successor in title.

20.3 If you are in breach of any term of this agreement, we may:

20.3.1 publish all text and Content relating to the claimed breach, including your name and email address and all correspondence between us and our respective advisers; and you now irrevocably give your consent to such publication;

20.3.2 terminate your account and refuse access to Our Website and Directory;

20.3.3 remove or edit Content, or cancel any order at our discretion;

20.3.4 issue a claim in any court.

20.4 Any obligation in this agreement intended to continue to have effect after termination or completion shall so continue.

20.5 No failure or delay by any party to exercise any right, power or remedy will operate as a waiver of it nor indicate any intention to reduce that or any other right in the future.

20.6 Any communication to be served on either of the parties by the other shall be delivered by hand or sent by express post or recorded delivery and followed by an e-mail.

It shall be deemed to have been delivered:

if delivered by hand: on the day of delivery;

if sent by post to the correct address: within 72 hours of posting;

and followed by an e-mail to the address from which the receiving party has last sent e-mail: within 48 hours if no notice of non-receipt has been received by the sender.

20.7 In the event of a dispute between the parties to this agreement, then they undertake to attempt to settle the dispute by engaging in good faith with the other in a process of mediation before commencing arbitration or litigation.

20.8 So far as the law permits, and unless otherwise stated, this agreement does not give any right to any third party.

20.9 Neither party shall be liable for any failure or delay in performance of this agreement which is caused by circumstances beyond its reasonable control, including any labour dispute between a party and its employees.

20.10 The validity, construction and performance of this agreement shall be governed by the laws of the State of Northern Territory. and you agree that any dispute arising from it shall be litigated only in that State.
